POLO RIDGE CLUB BY-LAWS
Article I: Name and Office
A. The name of the organization shall be “Polo Ridge Club.”
B. The principal office of the club shall be located in the Village of Polo Ridge, The Villages, FL. 32162
Article II: Purpose
A. The club shall promote social interaction among the club members.
B. It shall be a “not for profit” organization.
Article III: Membership
A. Membership shall be available to all residents within the boundaries of the “Village of Polo Ridge, Villa Natchez and Villa Berea.”
B. Membership dues are to be paid each January; dues will be $10.00 per person.
C. Any future change in the amount of dues shall be proposed by the officers and voted on by members in good standing.
D. Each resident member, in good standing, shall be entitled to one vote on matters that come before the membership.
E. Members in good standing shall receive priority on all club events.
F. Name badges should be worn by members to all club functions. New members must purchase name badges at current cost.
Any group in the Village of Polo Ridge may choose to separate from the organization; when and if they become recognized by the Villages Recreation Department as having qualified for a new club status.
G. Social Membership: All previous members who have moved away from the village of Polo Ridge, Villa Natchez and Villa Berea and are still residents of The Villages can renew their membership in the club, solely at their discretion. As a social member, the resident will receive the club newsletter, the PRIDE, by email. Current members may sponsor a friend from another village to join the Polo Ridge Club and must submit, in writing to the Board of Directors, their request to have a friend join the club. Only the Officers will vote on accepting a Social Member into the Club. There should be a maximum of 100 designated as “Social Members.”
H. Any social member in good standing will be allowed to vote and to hold office as if they were a resident member. (amended December 2019)
Article IV: Officers
A. The Executive Committee shall consist of all Officers.
B. The Officers shall consist of President, Vice President, Secretary and Treasurer, elected by members in good standing to serve a one-year term. Elected officers may serve for more than one term.
C. The President shall preside at all meetings and be responsible for the general running of the club.
D. The Vice President shall preside at all meetings in the absence of the President and will also handle club functions as needed.
E. The Secretary shall record and maintain minutes of all meetings. The Secretary shall also preside at all meetings in the absence of the President and the Vice-President.
F. The Treasurer shall maintain all Club funds and prepare a monthly report showing receipts, expenses and current balance. The Treasurer shall pay all bills and prepare a year-end financial statement for the general membership at the end of the calendar year. The Treasurer shall also preside at all meetings in the absence of the President, the Vice-President, and the Secretary.
G. Any Officer who is absent from three (3) consecutive meetings of the general membership, without a valid reason, shall be considered to have submitted his/her resignation and will be removed from that office.
H. Should an officer resign or otherwise be unable to continue to serve during the year, the Executive Committee shall appoint a resident member to assume the office temporarily and to be permanently voted on by the membership at the next general meeting.
Article V: Meetings
A. Regular meetings of the membership shall be held monthly at a time and place designated by the Executive Committee. Cancellations caused by holiday or summer schedules shall be acknowledged no later than the preceding monthly meeting.
B. Meetings of the membership shall be conducted in a business-like and orderly manner in accordance with Robert’s Rules of Order.
C. If all of the Officers are absent from the general meeting, the Membership Chair will preside over that meeting as if an Officer was present.
D. Special meetings of the general membership may be called by the President with the approval of the Executive Committee, providing reasonable effort is made to advise the membership by mail or public media.
E. Voting on ordinary business will be by voice vote, or show of hands from the resident members, or a standing vote. Majority vote of the resident members present shall rule, unless stipulated elsewhere.
F. Club meetings and functions are not intended for use as forums for commercial or political intention.
G. Board meetings shall be held monthly, place and time to be determined by the President. All officers are expected to attend the board meetings either in person or by phone, unless the President is advised otherwise. Chairpersons are welcomed to attend board meetings.
Article VI: Activities and Standing Committees
A. The President shall ask for volunteers to help run the Club functions such as: Membership, Activities, Trips, 50/50 Drawings, Publicity, the PRIDE newsletter, Sunshine, Ladies Luncheons, Dinner Party, Refreshments, and others. If there are no volunteers, the Executive Committee will then select Chairpersons to help run the Club functions.
B. The Membership Chairperson shall maintain a list of all members in good standing.
C. Standing Committees should be ongoing throughout the year. Others may be seasonal or as interest dictates.
Article VII: Elections
A. Prior to the January membership meeting, the Executive Committee will appoint a Nominating Committee of three (3) members. At the January membership meeting, the Nominating Committee will nominate at least one (1) candidate for each position that is open for election. At the February membership meeting, the slate will be presented and accepted if the Nominating Committee's slate of candidates is unopposed. Otherwise, a show of hands or a written ballot may be requested by the Committee, with the candidates removed from the meeting room while voting occurs.
B. Individuals nominated for office must be present or agree in writing that they are willing to serve.
C. The elected officers will start their terms on April 1 of the same year as the election.
Article VIII: Finances
A. The fiscal year of the Polo Ridge Club is from April 1st of the current year to March 31st of the following year.
B. The Treasurer shall prepare a budget for the new calendar year and present it to the Executive Committee at the first Board meeting of the new calendar year.
C. A two(2) member committee, appointed by the President, shall audit the Treasurer's books at the end of the fiscal year. The Auditing Committee shall not include any current officers. A report of the audit must be made to the general membership at the first meeting of the new fiscal year.
D. The Executive Committee shall execute contracts with a total amount greater than $250.00. Amounts below the $250.00 total may be executed by the committee chairperson.
E. Receipts of the Club shall be used by the Club to pay expenses incurred for regular operation of the Club and for no other purpose. Receipts shall be kept for three years before shredding them.
F. All expenses for reimbursement paid by the Polo Ridge Club must be documented.
Article IX: Revisions of the By-Laws
A. The proposed amendment must be described in two consecutive issues of the PRIDE newsletter and announced at two consecutive meetings prior to the general membership meeting at which an amendment is to be voted on.
B. Any member in good standing may request an amendment to the By-Laws. The proposed amendment must be in writing and accompanied with the rationale for amending. The proposed amendment must be delivered to the President for consideration by the Executive Committee.
C. The Executive Committee must review all requested amendments to the By-Laws and make recommendations to the general membership concerning approval or denial of the proposal.

A. No individual member or officer of the club shall be liable for debts, liabilities or obligations of the Club.
